AeroPay Express Inc. is continuing its Regulation Crowdfunding offering as the company expands an early-payment platform designed to let commercial vendors convert approved invoices into cash rather than waiting 30, 60 or 90 days for customers to pay.
The offering is being conducted through Issuance Express, operated by Jumpstart Micro Inc. According to AeroPay’s offering materials, the company is offering common stock at $10 per share, with a target offering amount of $250,000, a maximum of $2 million and an October 1, 2026 investment deadline.
AeroPay is targeting a familiar problem in business-to-business trade: suppliers routinely extend payment terms to customers even though financing those terms may have little to do with their core business.
Its model starts with the vendor.
After goods or services have been delivered, a supplier can upload an invoice to the AeroPay Exchange and request early payment. The buyer receives the invoice electronically and is asked to verify its accuracy, due date and ownership. Once the buyer approves the transaction and AeroPay clears the credit, AeroPay can pay the vendor up to 97% of the invoice.
The buyer is then invoiced by AeroPay for the underlying goods or services.
That structure is designed to separate two competing needs inside the same commercial sale: the vendor’s desire to turn a receivable into cash and the buyer’s desire to preserve payment terms.
AeroPay’s materials describe the company as an Early Pay facilitator, rather than a factor, purchase-order finance company or conventional supply-chain finance provider. The distinction is important to its positioning.
Traditional accounts-receivable lending generally depends heavily on the financial condition of the borrower and often involves a security interest under Article 9 of the Uniform Commercial Code. AeroPay’s vendor program does not require an Article 9 or UCC lien filing against the vendor.
Its credit analysis instead places greater weight on the buyer.
AeroPay looks for established, well-capitalized buyers with strong payment histories. On the vendor side, the company focuses on whether the goods or services have been delivered and whether the underlying invoice can be verified. According to company materials, the vendor’s own credit history is not the principal basis for funding because repayment depends on the approved buyer obligation.
AeroPay typically earns its revenue through a discount accepted by the vendor for receiving payment early. Company materials put that discount at approximately 2% to 3% per 30-day term.
There can also be an economic benefit for the buyer. AeroPay’s buyer program allows participating companies to receive rebates based on how quickly they settle an AeroPay invoice or, alternatively, give up some or all of that rebate in exchange for additional time to pay.
The model grew out of AeroFund Financial, the commercial finance company established in 1987. AeroFund has spent nearly four decades providing factoring and accounts-receivable financing and reports purchasing more than $8 billion in invoices since inception.
AeroPay was launched as a separate division in 2016 to apply that commercial-credit experience to an unsecured, software-driven early-payment model.
International trade has emerged as another area of use. AeroPay’s materials cite early transactions involving avocados from Mexico, wine from France, computer parts from China and backpacks from Hong Kong, all involving vendors selling to buyers in the United States.
The company is also developing a private-label channel that allows brokers and financial institutions to offer early-payment programs under their own brands while AeroPay handles underwriting, settlement and servicing.
Proceeds from the current raise are intended to support continued growth of AeroPay’s credit capacity, private-label distribution and proprietary underwriting and settlement technology.
