Guillermo Estrella Ramia highlights legal structuring behind Manzanillo Power Land project

Guillermo Estrella Ramia, Managing Partner at Estrella & Tupete, Abogados and founding partner of Energia 2000, provided an overview of the legal and contractual framework supporting the development of Manzanillo Power Land, a 414-megawatt combined-cycle power plant inaugurated in Montecristi in March 2026.

The project includes a combined-cycle generation facility supported by associated infrastructure, including a 128-kilometer, 345-kilovolt transmission line, a floating storage and regasification unit, and a subsea pipeline. The development reached financial close following the structuring of multiple contractual components, including concession agreements, power purchase agreements, engineering, procurement and construction contracts, operations and maintenance agreements, and financing documentation.

According to project documentation, the transaction required coordination between legal, financial, technical and regulatory stakeholders over a development period exceeding ten years.

The concession for the project was granted by the National Energy Commission, with regulatory oversight provided by Dominican authorities, including the Superintendency of Electricity. The project operates within the legal framework governing energy infrastructure and long-term power purchase agreements in the Dominican Republic.

Public data from international energy reports indicates that Latin America and the Caribbean account for a limited share of privately financed global clean energy investment, with regulatory and contractual structuring identified as a factor influencing investment flows.

The development of Manzanillo Power Land reflects the application of project finance structures commonly used in large-scale infrastructure transactions, including multi-party contractual frameworks and long-term operational agreements.
